Terms of Service

1. Acceptance of Terms

Welcome to Hydron. Hydron is an AI-powered infrastructure planning and deployment service operated by UAB Vertex, a private limited liability company incorporated in the Republic of Lithuania, company code 120320756, registered address Liepų 83, Klaipėda, Lithuania ("Vertex", "we", "us", or "our"). In these Terms, "Hydron" and the "Service" refer to the Vertex platform, applications, and infrastructure made available under the Hydron brand.

By accessing or using the Service, you ("you", "your", or the "Client"), whether as an individual or on behalf of an entity, agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. If you accept these Terms on behalf of an entity, you represent that you are authorized to bind that entity.

We may modify these Terms at any time. We will provide notice of material changes through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Description of Service

Hydron provides an AI-powered platform for infrastructure planning, configuration, and deployment automation, together with the provisioning of server capacity and related infrastructure. Our services include, but are not limited to:

  • Automated infrastructure planning and optimization
  • Provisioning of dedicated (bare-metal) servers and/or cloud-based capacity sourced by Vertex (see Section 7)
  • Server provisioning, configuration, and deployment management
  • Migration of applications and workloads from third-party hosting platforms (for example, platform-as-a-service providers) onto infrastructure provided through the Service
  • Infrastructure as Code (IaC) generation
  • Real-time deployment monitoring and management
  • AI-assisted infrastructure recommendations

Resale model. To deliver the Service, Vertex procures server capacity — whether dedicated (bare-metal) servers, cloud computing resources, bandwidth, IP addresses, or related infrastructure — from one or more third-party providers and makes that capacity available to you through Hydron. You acquire only a limited right to use this infrastructure for the term of your subscription. You do not acquire ownership of, or any leasehold or other proprietary interest in, any hardware, IP address, or facility, and you have no direct contractual relationship with any underlying provider. Section 7 governs this arrangement.

The Service is provided "as is." We may modify, suspend, or discontinue any aspect of the Service at any time, and will make reasonable efforts to notify users of significant changes.

Business use only. The Service is intended solely for business, professional, and organizational use. It is not directed at consumers, and you confirm that you are using the Service for purposes related to your trade, business, craft, or profession.

3. User Accounts and Registration

To access the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You may not use another person's account without permission, and you are solely responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms or engage in suspicious or fraudulent activity. You may not share credentials except as expressly permitted by your service plan.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable local, national, or international law
  • Infringe or violate the intellectual property rights of others
  • Transmit any malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems, networks, or those of any Infrastructure Provider
  • Interfere with or disrupt the Service, the underlying infrastructure, or other users' use of it
  • Use the Service for any illegal or unauthorized purpose
  • Impersonate any person or entity or misrepresent your affiliation
  • Use automated systems to access the Service without permission
  • Reverse engineer or decompile any part of the Service

Infrastructure-specific obligations. Because the Service runs on infrastructure that Vertex procures from third parties (Section 7), you additionally agree not to:

  • Engage in any activity that breaches, or would cause Vertex to breach, any Provider Terms (as defined in Section 7)
  • Engage in network abuse, including unsolicited bulk email/spam, port scanning, denial-of-service activity, or operating open relays or proxies for abuse
  • Consume infrastructure resources (CPU, storage, bandwidth, I/O) in a manner that is abusive, that degrades service for others, or that exceeds the limits of your plan
  • Host content or run workloads prohibited by your plan or by any applicable Provider Terms
  • Sublicense, resell, rent, or otherwise make the infrastructure or Service available to any third party, except as expressly permitted in writing by Vertex

We may investigate suspected violations and take appropriate action, including removing content, suspending or terminating accounts, and reporting to law enforcement.

5. Intellectual Property Rights

The Service and all its original content, features, and functionality are owned by Vertex and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our Content: All content provided through the Service, including text, graphics, logos, icons, images, software, and AI-generated recommendations, is our property or that of our licensors.

Your Content: You retain all rights to any infrastructure configurations, code, or content you submit through the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute Your Content solely to provide and improve the Service.

Generated Content: Infrastructure plans, configurations, and code generated by our AI based on your inputs are provided under a non-exclusive license for your use. Similar outputs may be generated for other users.

You may not copy, modify, distribute, sell, or lease any part of the Service or software without our express written permission, or reverse engineer it except as permitted by law.

6. Payment and Billing

By providing payment information, you represent that you have the legal right to use the payment method, that the information is accurate, and that you will pay all charges at the prices in effect when incurred.

Subscription Fees: Subscription fees are billed in advance on a recurring basis and are non-refundable except as required by law.

Usage-Based Fees: Certain features may incur usage-based charges based on deployments, API calls, or resource consumption. You agree to pay all such charges.

Price Changes: We may change pricing on advance notice. Changes will not affect your current billing cycle, except where required by an Infrastructure Provider's pricing change (see Section 7).

Taxes: All fees are exclusive of applicable taxes, levies, or duties (including VAT). You are responsible for all such taxes except taxes based on our net income.

Payment Methods: You authorize us to charge your payment method for all fees incurred.

Failed Payments: If payment fails, we may suspend or terminate access to paid features. You remain responsible for uncollected amounts.

7. Underlying Infrastructure and Provider Terms

This Section governs the dedicated servers and infrastructure on which the Service runs.

7.1 How the infrastructure is provided. To deliver the Service, Vertex procures server capacity and infrastructure — including dedicated (bare-metal) servers, cloud computing resources, bandwidth, IP addresses, and related infrastructure ("Underlying Infrastructure") — from one or more third-party data-centre, cloud, and infrastructure providers ("Infrastructure Providers"). Your workloads run on Underlying Infrastructure that Vertex leases or licenses from an Infrastructure Provider and makes available to you through Hydron. The type of Underlying Infrastructure allocated to you (for example, bare-metal versus cloud) may depend on your plan, availability, and operational requirements, and we may change it in accordance with Section 7.5.

7.2 No ownership; no direct relationship. Vertex is the customer of record with each Infrastructure Provider. You acquire only a limited, non-transferable right to use the Underlying Infrastructure through the Service for the duration of your subscription. You acquire no ownership, leasehold, or other proprietary interest in any hardware, IP address, or facility, and you have no direct contractual relationship with any Infrastructure Provider.

7.3 Provider Terms apply to you. The Underlying Infrastructure is subject to the terms of service, acceptable use policies, and other rules of the relevant Infrastructure Provider (collectively, "Provider Terms"). As a condition of using the Service, you agree to use the Underlying Infrastructure in good faith and to comply with all Provider Terms applicable to the Underlying Infrastructure allocated to you, as if you were a direct customer of that Infrastructure Provider. The Provider Terms are incorporated into these Terms by reference.

We will make the applicable Provider Terms available to you before you begin using the relevant Underlying Infrastructure — through the Service and/or at the time you order or provision it. By ordering, provisioning, or using any Underlying Infrastructure, you confirm that you have been given access to, have reviewed, and approve the applicable Provider Terms, and you agree to be bound by them. Because we work with multiple Infrastructure Providers, the Provider Terms that apply depend on which provider's infrastructure is allocated to you, and the applicable Provider Terms (which may identify the provider) will be made available to you at that point. Where Provider Terms are updated, the updated version applies, and your continued use of the affected Underlying Infrastructure constitutes acceptance.

Onward use by your own users. If you permit any third party (including your own end users or customers) to use the Underlying Infrastructure, then before any such use you must communicate the applicable Provider Terms to that third party and obtain their approval of them, and you guarantee that third party's compliance with the Provider Terms. You remain fully responsible to us for any use of the Underlying Infrastructure by any such third party.

7.4 Protecting our provider relationships. You must not take any action, and must not permit any content or workload, that does or could: (a) breach any Provider Terms; (b) cause an Infrastructure Provider to suspend, throttle, reclaim, relocate, or terminate any infrastructure or Vertex's account; or (c) expose Vertex to any claim, penalty, fee, or liability from an Infrastructure Provider. You are responsible for, and shall reimburse Vertex for, any cost, penalty, fee, or liability that Vertex incurs from an Infrastructure Provider as a result of your acts, omissions, content, or workloads.

7.5 Provider-driven changes and actions. Infrastructure Providers may modify, suspend, throttle, reclaim, relocate, re-price, or discontinue infrastructure, or may require Vertex to act, for reasons outside our control. We may pass through any such change or action to you, including by migrating your workloads, changing specifications, adjusting pricing on reasonable notice, or suspending or terminating affected Service. To the maximum extent permitted by law, we are not liable for any act, omission, outage, change, or termination by an Infrastructure Provider.

7.6 Emergency suspension. We may suspend your access to the Underlying Infrastructure immediately and without prior notice where we reasonably believe this is necessary to comply with a demand from an Infrastructure Provider, to remedy or prevent a breach of Provider Terms, or to protect Vertex's account or relationship with an Infrastructure Provider, or the security or integrity of the Service. We will restore access as soon as reasonably practicable once the issue is resolved.

7.7 Other third-party services you connect (including migration sources). Separately from the Underlying Infrastructure, you may choose to connect optional third-party services — for example, code repositories, domain registrars, DNS providers, or existing hosting and platform-as-a-service providers from which you wish to migrate (such as PaaS platforms). Where you ask us to migrate your applications, data, or workloads from such a platform, you authorize us to access that platform and the relevant resources on your behalf, using credentials or access you provide, solely to carry out the migration you have requested.

You represent that you have the right to grant such access and to migrate the relevant applications and data, and that doing so does not breach your agreement with that platform. Your use of any such third-party service remains governed by that service's own terms; you are solely responsible for your relationship with it and any charges it imposes; and we make no warranties regarding it, its availability, or the completeness or success of any migration. We are not responsible for any data loss, downtime, or other consequence arising from the source platform or from the migration process, and you remain responsible for maintaining your own backups until a migration is verified complete.

8. Data Privacy and Security

Our collection and use of personal data is governed by our Privacy Policy, incorporated into these Terms by reference, and by the EU General Data Protection Regulation (Regulation (EU) 2016/679, "GDPR") and applicable Lithuanian data protection law.

Roles. To the extent Vertex processes personal data contained in Your Content or workloads on your behalf, Vertex acts as a data processor and you act as the data controller. Such processing is governed by our Data Processing Agreement ("DPA"), available at https://hydron.app/dpa, which is incorporated into these Terms by reference. Where the GDPR or equivalent law applies to your use of the Service, you agree to the DPA by accepting these Terms; a separately executed copy is available on request.

Data Security: We implement industry-standard security measures. However, no method of transmission or storage is fully secure, and we cannot guarantee absolute security.

Your Responsibilities: You are responsible for the confidentiality of your account credentials and API keys, for the lawfulness of the data you process through the Service, and for obtaining any consents required for that processing.

Data Retention: We retain data for as long as necessary to provide the Service and as required by law. You may request deletion of your data, subject to our legal obligations and legitimate interests.

Credentials: Where you provide credentials for connected third-party services, we store them using encryption and best practices and access them only to perform actions you request.

9. Disclaimers and Limitations of Liability

Service Provided "As Is": TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee of Results: We do not warrant that the Service will be uninterrupted, secure, or error-free, that results will be accurate, or that defects will be corrected.

AI-Generated Content: AI-generated recommendations and configurations may contain errors and may not suit all use cases. You are responsible for reviewing and validating all generated content before deployment.

Infrastructure Deployments and Providers: Deploying infrastructure carries inherent risk. We are not responsible for issues, costs, data loss, security breaches, outages, or other problems arising from infrastructure deployments or from the acts or omissions of any Infrastructure Provider.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VERTEX OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Maximum Liability: OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

Mandatory exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or willful misconduct.

10. Indemnification

You agree to indemnify, defend, and hold harmless Vertex and its officers, directors, employees, agents, licensors, and suppliers from all claims, losses, liabilities, expenses, damages, and costs (including reasonable legal fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any Provider Terms, or any claim, penalty, or liability asserted by an Infrastructure Provider arising from your acts, omissions, content, or workloads
  • Your violation of the rights of any third party or of any applicable law
  • Any content you submit, post, or transmit through the Service
  • Infrastructure deployments made using the Service
  • Any disputes with third-party services you choose to connect

We may assume exclusive defense and control of any matter subject to indemnification, and you will cooperate with us.

11. Termination

By You: You may terminate your account at any time via the account settings or by contacting us. Upon termination, your right to use the Service ceases immediately.

By Us: We may suspend or terminate your account and access immediately, without prior notice or liability, for reasons including breach of these Terms or Provider Terms, non-payment, violation of law, fraudulent or abusive activity, extended inactivity, a requirement imposed by an Infrastructure Provider, or a requirement of law enforcement or government authority.

Effect of Termination: Upon termination, all licenses and rights granted to you cease. Because you hold no ownership interest in the Underlying Infrastructure, your workloads and data on it may be decommissioned and deleted following termination, subject to any data-retention obligations and to a reasonable opportunity to export your data where practicable. We may retain certain information as required by law or for legitimate business purposes.

Surviving Provisions: Provisions that by their nature should survive termination shall survive, including Sections 5, 7.2, 7.4, 9, 10, and 13.

12. Export and Sanctions Compliance

You agree to comply with all applicable export, import, and economic sanctions laws and regulations, including those of the European Union, the Republic of Lithuania, and the United States (including the U.S. Export Administration Regulations).

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive EU or U.S. sanctions or embargo, and that you are not a person or entity listed on any applicable EU or U.S. restricted-party or sanctions list. You may not use the Service in violation of any such law or to provide the Service to any sanctioned party.

13. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict-of-law rules.

Informal Resolution: Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiations between the parties.

Arbitration: If a dispute is not resolved through negotiation within thirty (30) days, it shall be finally settled by arbitration administered by the Vilnius Court of Commercial Arbitration (VCCA) in accordance with its rules in force at the time of submission. The seat of arbitration shall be Vilnius, Lithuania; the language of the arbitration shall be English; and the tribunal shall consist of one (1) arbitrator. The award shall be final and binding on the parties.

Exceptions: Either party may bring proceedings solely for injunctive relief to stop unauthorized use or abuse of the Service or infringement of intellectual property rights without first completing informal resolution.

14. Modifications to Service

We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will make reasonable efforts to notify users of material changes by email or in-app notification. It is your responsibility to review these Terms periodically.

15. Feedback and Suggestions

By submitting feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate them into the Service without obligation, compensation, or attribution.

16. Miscellaneous Provisions

Entire Agreement: These Terms, together with our Privacy Policy, any DPA, and any other legal notices published by us, constitute the entire agreement between you and Vertex concerning the Service.

Severability: If any provision is held invalid or unenforceable, it shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.

Waiver: No waiver of any term shall be deemed a continuing waiver, and our failure to assert any right shall not constitute a waiver.

Assignment: You may not assign or transfer these Terms or your rights without our prior written consent. We may assign these Terms, including to an affiliate or in connection with a merger, acquisition, or sale of assets.

Force Majeure: We are not liable for any failure or delay due to circumstances beyond our reasonable control, including acts of God, war, terrorism, embargoes, acts of authorities, fire, floods, pandemics, strikes, failures or actions of Infrastructure Providers or telecommunications carriers, or shortages of materials or energy.

Headings: Section headings are for convenience only and have no legal effect.
